Terms of service

1. Definitions

"Umbiko", "we", "us": Umbiko B.V., Bussum, the Netherlands.

"Service": the websites and the procurement platform listed above, including all related features.

"Customer", "you": the legal entity that signs up for the service.

"Customer Content": all data, documents and information you upload or provide to the service.

2. Account & access

You are responsible for accurate sign-up information, the security of your credentials and the actions of users on your account.

We may suspend an account at any time in case of breach of these terms, late payment, or activity that endangers the service or other customers.

3. Trial period

A free trial gives you 14 days of access to evaluate the service. After the trial, paid plans become available; without a paid plan your account is deactivated.

Trial data is retained for 90 days after the trial ends, then permanently deleted (see Privacy Policy).

4. Payment & invoicing

Paid plans are invoiced monthly or annually in EUR. Invoices are due within 14 days. Late payments may incur statutory interest and collection costs.

Prices are exclusive of VAT and may be revised with 60 days' notice.

5. Customer Content & data

You retain all rights, title and interest in Customer Content. We claim no ownership over your documents, quotations or tender data.

You grant us a limited, non-exclusive license to host, process and analyse Customer Content solely to provide the service. We do not use Customer Content to train AI models.

6. Intellectual property

The service itself — software, designs, documentation, the Umbiko brand — is and remains the property of Umbiko B.V. You receive a non-exclusive, non-transferable right of use for the duration of your subscription.

7. Acceptable use

You may not (a) reverse-engineer the service, (b) attempt to circumvent security or rate limits, (c) use the service to process unlawful content, (d) resell access to third parties without our written consent.

8. Warranties & disclaimers

We deliver the service with reasonable care and skill, but make no guarantee that AI-generated answers, comparisons or risk detections are exhaustive or error-free. You remain responsible for the procurement decisions you make based on Umbiko output.

The service is provided "as is" beyond the warranties expressly stated in these terms.

9. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability under these terms is limited to the fees paid by you in the 12 months preceding the event giving rise to liability. We are not liable for indirect, consequential or special damages, including lost profits or data.

10. Term & termination

Subscriptions auto-renew unless cancelled at least 30 days before the renewal date. Either party may terminate immediately for material breach not cured within 30 days of written notice.

On termination we will make Customer Content available for export for 30 days, after which it is permanently deleted.

11. Governing law

These terms are governed by the laws of the Netherlands. Disputes shall be submitted to the competent court of Amsterdam, without prejudice to your rights as a consumer where applicable.
